Job Description:
You will coordinate with our parent company\'s Legal Department, as appropriate. You will handle all legal aspects of licensing, co-promotion/co-development and acquisition deals including CDAs, due diligence, and drafting and negotiating term sheets and agreements. You will work with and supervise outside counsel on regulatory filings related to transactions (e.g., Hart-Scott-Rodino). You will advise the Head of Global Business Development and senior management (including colleagues from parent company) regarding legal and regulatory aspects of major issues involving licensing and related transactions. Such transactions may be global, US-only, or intra-company arrangements. You will provide legal counsel in managing our relationships with our marketing and development partners by interpreting existing agreements and negotiating and drafting amendments. You will pro-actively monitor pending legislation and counsel senior management in the U.S. and Tokyo on changes in the laws, regulations and enforcement practices of governmental authorities having jurisdiction over U.S. and Global pharmaceutical business development transactions.This position requires approximately 10% travel, including 2 week-long trips to Japan.Education/Experience Requirements: Qualified candidate must have a J.D. from Law School of recognized standing and Bar Admission. You must have 8 or more years post-law school experience, including 5 years or more pharmaceutical industry experience, particularly in drafting and negotiating licensing, promotion and development deals, including global transactions.
